SaaS Terms of service

IPW Systems A/S offers Software-as-a-Service (SaaS) in the form of hosting IPW solutions on behalf of those of our customers, who can’t or don’t want to do this by themselves. The exact setup of the SaaS operation will be agreed upon individually with the customer, including domain names in use, encryption, certificates, etc.

SaaS solutions are provided under the following terms and conditions:

Physical hardware and virtual servers are delivered, operated and maintained by our subcontractor Linode – a company specialised in operating highly scalable server clusters in large state-of-the-art data centers. IPW’s SaaS solutions are operated from Powergate Data Centre in London. Server storage and traffic limits are specified on the hosting product page.

The operating system, software and data on the virtual servers are maintained by authorized technicians from IPW Systems. The servers are only accessible by encrypted connections from specific IP addresses. No access to the data is granted to any of our subcontractors.

Our SaaS solutions are operated from multiple identical servers to minimize the risk of unavailability in case of any issues with the operation. Extra servers are ready to use in a separate data center in the case of severe problems with the infrastructure of the datacenter, internet connections or other external causes beyond our control.

All servers are mirrored internally in the data center every night, so that a recent complete server can be restored in moments. All data is furthermore copied every night over encrypted connections to a separate external location. We can restore any data to any day within at least the last 2 months.

Customer data will remain the sole property of our customers. Against a small surcharge in the hosting agreement, the customer is given the ability to download a complete backup of the data and system in the same form as they are backed up by IPW.

Payment and renewal
SaaS solutions are billed for 12 months at a time from the date of the agreement. Terms of payment follows the previously agreed terms of payment between IPW Systems and the customer. The agreement is automatically renewed on expiry of the 12 month subscription.

Termination
SaaS solutions can be terminated until 3 months before the annual renewal.

Uptime Guarantee
We refer to the supplier of our data center infrastructure, Linode that has an uptime guarantee of 99.9%, with the following limitation of liability:

Limitation of Liability
Subscriber acknowledges that the service provided is of such a nature that service can be interrupted for many reasons other than the negligence of IPW Systems A/S and/or its subcontractors (hereinafter referred to in combination as “the hosting provider”), and that damages resulting from any interruption of service are difficult to ascertain. Therefore, subscriber agrees that the hosting provider shall not be liable for any damages arising from such causes beyond the direct and exclusive control of the hosting provider. Subscriber further acknowledges that the hosting provider’s liability for its own negligence may not in any event exceed an amount equivalent to charges payable by subscriber for services during the period damages occurred. In no event shall the hosting provider be liable for any special or consequential damages, loss or injury. The hosting provider is not responsible for any damages your business may suffer. The hosting provider does not make implied or written warranties for any of our services. The hosting provider denies any warranty or merchantability for a specific purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by the hosting provider.
